License Agreement

This End User License Agreement ("EULA") is a legal agreement between you ("User" or "you") and Spindown Vault ("we", "us", or "our") governing your use of the Spindown Vault mobile application (the "Application" or "App"). By installing, accessing, or using the Application, you agree to be bound by this EULA.

1. License Grant

Subject to your compliance with this EULA, we grant you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the Application for your personal, non-commercial use on devices you own or control, in accordance with the terms and conditions of this EULA.

2. Restrictions

You may not:

• Copy, modify, distribute, sell, or lease any part of the Application
• Reverse engineer, decompile, or disassemble the Application
• Remove or alter any proprietary notices or labels on the Application
• Use the Application for any illegal or unauthorized purpose
• Interfere with or disrupt the Application or servers connected to the Application
• Attempt to gain unauthorized access to any portion of the Application

3. Beta Testing Acknowledgment

The Application is currently in beta testing. By using this beta version, you acknowledge that:

• The Application may contain errors, bugs, or other defects
• The Application may not be fully functional or stable
• Features may be incomplete, changed, or removed at any time
• Data may be lost or corrupted
• Regular backups of your data are recommended

4. Intellectual Property

The Application, including all content, features, functionality, designs, text, graphics, images, and software, is owned by us or our licensors and is protected by copyright, trademark, and other intellectual property laws. All rights not expressly granted are reserved.

5. User Content and Data

You retain ownership of any data or content you create or upload through the Application ("User Content"). By using the Application, you grant us a worldwide, royalty-free, non-exclusive license to use, store, and process your User Content solely for the purpose of providing and improving the Application. You are solely responsible for your User Content and warrant that you have all necessary rights to grant this license.

6. Disclaimer of Warranties

THE APPLICATION IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY. WE DO NOT WARRANT THAT THE APPLICATION WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM YOUR USE OR INABILITY TO USE THE APPLICATION.

8. Third-Party Services and Content

The Application may contain links to third-party websites, services, or content. We are not responsible for the availability, accuracy, or content of such third-party services. Your use of third-party services is subject to their respective terms and conditions.

9. Trademark Disclaimer

Spindown Vault is not affiliated with, endorsed by, or sponsored by Wizards of the Coast LLC, Magic: The Gathering, TCGPlayer, or any of their respective affiliates. Magic: The Gathering is a trademark of Wizards of the Coast LLC. TCGPlayer is a trademark of TCGPlayer, Inc. All trademarks, service marks, and trade names are the property of their respective owners.

10. Termination

We may terminate or suspend your access to the Application immediately, without prior notice or liability, for any reason, including if you breach this EULA. Upon termination, your right to use the Application will cease immediately. All provisions of this EULA that by their nature should survive termination shall survive.

11. Modifications

We reserve the right to modify this EULA at any time. We will notify you of any material changes by posting the updated EULA within the Application or on our website. Your continued use of the Application after such modifications constitutes acceptance of the updated EULA.

12. Subscription and Payments

If you purchase a subscription to premium features, you agree to pay all fees associated with your subscription. Subscriptions automatically renew unless cancelled. You may cancel your subscription at any time through your device's subscription settings. Refunds are subject to the terms of your app store.

13. Privacy

Your use of the Application is also governed by our Privacy Policy. By using the Application, you consent to the collection and use of information as described in our Privacy Policy.

14. Governing Law

This EULA shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions.

15. Severability

If any provision of this EULA is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
